END USER LICENSE AGREEMENT (EULA)

IMPORTANT: READ BEFORE USING

This End User License Agreement (“EULA”) is a legal agreement between you (“User,” “you,” or “your”) and Property Insights (ABN 43 432 978 827) (“we,” “us,” or “our”), based in Australia.

By downloading, installing, or using Property Insights in any form (free tier, paid subscription, standalone, or cloud), you agree to be bound by these terms. If you do not agree, do not use the software.

This agreement applies to:

✅ Free tier users (2 properties, annual license) — Available globally
✅ Standalone App users (local storage on device) — Available globally
✅ Cloud SaaS users (cloud-based storage) — Available in Australia, New Zealand, UK only
✅ Paid subscribers (all features, ongoing) — Available in Australia, New Zealand, UK only

Governing Law: This agreement is governed by Australian law and disputes are resolved in the Federal Court of Australia, regardless of where you are located.

You must accept this EULA before using any version of Property Insights.

1. PRODUCTS & STORAGE OPTIONS

Property Insights offers two separate storage options:

1.1 Standalone App (Local Storage)

How it works: Downloaded as HTML file, runs in your browser
Data storage: Stored locally on your device using browser localStorage
Data access: Only you can access your data (stored on your device)
Internet required: No (works offline, uploads/exports optional)
Availability: Global (all countries)

1.2 Cloud SaaS (Cloud Storage)

How it works: Browser-based application, accessed via prop-insights.app
Data storage: Stored on Fly.io cloud infrastructure (data centers in AU/EU)
Data access: Accessed from any device via login
Internet required: Yes (cloud-based requires internet)
Availability: Australia, New Zealand, UK only

Important: These are separate products with different data storage. Choose one or use both.

2. FREE TIER

2.1 Free Tier Terms

Properties: 2 properties maximum
Features: Full analysis features (calculations, projections, reports)
Duration: Annual license, free forever (renews each year)
Renewal: Must renew annually (simple click to confirm)
Standalone or Cloud: Available for both options

2.2 Free Tier Renewal

Every 12 months, your free license expires
To continue, click “Renew License” (takes 10 seconds)
No payment required, no credit card needed
Renewal is immediate

2.3 If You Don’t Renew

Access to 2 properties is blocked
Features locked
Data remains safe (not deleted)
Can renew anytime by clicking “Renew License”

3. WHAT YOU’RE BUYING (Paid Tiers)

You are purchasing a subscription to Property Insights, which includes:

Access to Property Insights (standalone or cloud)
Ability to analyze unlimited properties
Data storage (locally or in cloud, based on product)
Updates and maintenance
Support via email

You are NOT buying:

Financial or investment advice
Guaranteed investment returns
Predictions of market performance
Liability protection for your investments

4. LICENSE GRANT

We grant you a limited, non-exclusive license to:

Use Property Insights for property investment analysis
Store your data (locally or in cloud)
Access via your web browser or downloaded app

You may NOT:

Reverse engineer, decompile, or disassemble the code
Distribute or resell the software
Share your login with others (cloud only)
Modify or create derivative works
Use for competing products

5. OWNERSHIP

Our Property: Software code, design, algorithms, open source components
Your Property: All data you input (addresses, financials, notes, etc.)

You own your data. We own the software.

6. DATA PRIVACY & STORAGE

6.1 Standalone App (Local Storage)

Where: Your device only (browser localStorage)
Who can access: Only you (we have no access)
Backup: You are responsible for backups
Security: Device security is your responsibility
Deletion: Clear browser cache to delete

6.2 Cloud SaaS (Cloud Storage)

Where: Fly.io cloud infrastructure (AU/EU data centers)
Who can access: You (via login) and our team (for support/maintenance)
Backup: Automatic cloud backups included
Security: Encrypted in transit and at rest
Deletion: Data deleted 30 days after account cancellation
GDPR: Subject to separate Data Privacy Policy

7. NO INVESTMENT ADVICE

CRITICAL: Property Insights is a calculation tool only. It is NOT investment advice.

We do NOT:

Advise you on property purchases
Guarantee investment returns
Predict market performance
Recommend or endorse properties
Accept liability for investment outcomes

You are solely responsible for your investment decisions. Consult qualified financial advisors if needed.

8. NO WARRANTY

Property Insights is provided “as-is” without warranty.

We make no guarantee that:

Projections will be accurate
Software will be error-free
Calculations will match professional appraisals
Cloud data will never be lost (backed up daily, but technology fails)
Standalone data will never be lost (back it up yourself)

9. LIMITATION OF LIABILITY

Our maximum liability is limited to the amount you paid in the preceding 12 months (minimum $100).

We are not liable for:

Lost profits or data
Financial losses from investments
Indirect or consequential damages
Business interruption
Cloud service downtime (unless >24 hours, see Section 12)

10. SUBSCRIPTION TERMS & GEOGRAPHIC AVAILABILITY

10.1 Geographic Restrictions

Free Tier & Standalone App:

Available globally (worldwide)
No geographic restrictions

Cloud SaaS & Paid Subscriptions:

Available in Australia, New Zealand, and United Kingdom only
Paid subscriptions cannot be purchased from other countries
If you purchase from outside these countries, your subscription may be cancelled without refund

10.2 Payment & Billing

Charges are recurring (monthly or annual, based on your selection)
Paid via Paddle (our payment processor)
Includes GST/VAT at local rate for your country:
- Australia: 10% GST
- New Zealand: 15% GST
- United Kingdom: 20% VAT

10.3 Subscription Plans

10.4 Cancellation

Can cancel anytime after minimum term

10.5 Minimum Term

You commit to minimum term to access special pricing
After minimum term, cancel anytime with no penalty
No hidden fees or automatic upgrades

11. REFUND POLICY

Refunds are issued for genuine billing errors only.

Genuine Errors (Refundable):

Accidental duplicate charge — Charged twice for same subscription
Billing error — Wrong amount charged (we quote $29, charged $59)
Unauthorized charge — Payment made without your authorization
Technical failure — Transaction processing error by Paddle

NOT Refundable:

Changed your mind — Just cancel instead
Used service then refund — Accepted the product
Investment underperformance — Our tool doesn’t guarantee profits
Cloud service downtime — Covered by SLA, not refund

12. CLOUD SERVICE LEVEL AGREEMENT (SaaS Only)

For Cloud SaaS users only:

12.1 Service Availability

We commit to 99.5% uptime (monthly average).

Target: 99.5% availability
Downtime tolerance: ~3.6 hours/month
Monitoring: 24/7 automated monitoring

12.2 Service Outage

If Cloud SaaS is unavailable for >24 continuous hours due to our infrastructure:

You’re entitled to a pro-rated refund for that period
Example: App down 2 days during 30-day billing = (2/30) × $29 = $1.93 refund
Automatic refund processed (no request needed)

12.3 Backups & Data Recovery

Automatic daily backups
Data retained 30 days after account deletion
Cannot restore after 30 days

12.4 Maintenance Windows

Scheduled maintenance: max 4 hours/month
Typically: Tuesday 02:00-06:00 UTC

13. ACCEPTABLE USE

You agree NOT to:

Use Property Insights illegally
Reverse engineer or hack it
Attempt to break security
Abuse cloud resources (unusually high usage)
Harass support staff
Violate anyone’s rights

Cloud users additionally agree NOT to:

Share login credentials
Attempt to access other users’ data
Attempt to access Property Insights servers or infrastructure

14. TERMINATION

We may terminate your access if:

You materially breach this agreement
You attempt to reverse engineer the software
You violate laws
You use it for illegal purposes
Cloud users: You abuse resources or security

We’ll provide 30 days’ notice (unless emergency/fraud).

15. INTELLECTUAL PROPERTY

Source code: Our exclusive property
Algorithms: Our exclusive property
Your data: Entirely yours
Open source components: Licensed separately (see LICENSE file)

16. CHANGES TO THIS AGREEMENT

We may update this EULA. Changes apply to new subscriptions; existing subscriptions continue under original terms.

Material changes will be communicated at least 30 days in advance.

By using Property Insights (free or paid, standalone or cloud), you confirm:

✅ You understand the limitations and lack of warranty
✅ You are purchasing as a commercial user making an informed decision
✅ Refunds apply to billing errors only
✅ You have read and accepted this EULA
